Cencora Inc has completed its $4.4 billion acquisition of Retina Consultants of America (RCA), a prominent management services organization for retina specialists. The transaction grants Cencora an 85% stake in RCA, with the remaining equity retained by RCA physicians and management. The acquisition aims to strengthen Cencora’s position in the specialty healthcare market and expand its management services organization offerings, the company said in a press release.
The acquisition’s financial details include a $4.4 billion cash outlay by Cencora, subject to post-closing adjustments. This includes a cash capitalization of RCA, transaction fees, expenses, and debt repayment. By incorporating RCA into its portfolio, Cencora seeks to enhance its value proposition for both physicians and patients while advancing its leadership in specialty healthcare.
Following the acquisition, Cencora revised its adjusted earnings guidance for fiscal year 2025. The company now projects adjusted diluted earnings per share (EPS) to range between $15.15 and $15.45, an increase from the previous forecast of $14.80 to $15.10.
